Arcom decisions on requests for approval of the proposed takeover of TFX and M6 Génération by the Altice group
The French regulatory authority for audiovisual and digital communication (Autorité de Régulation de la Communication Audiovisuel et Numérique) has today approved the proposed acquisition of sole control of TFX and M6 Génération by Groupe News Participations, a subsidiary of the Altice Group. These decisions follow the Competition Authority's decision of July 15 on the same projects.
They are part of Bouygues' plan to take exclusive control of a new group that would merge the activities of the TF1 and mainland television groups. Their completion is therefore contractually conditional on the completion of the proposed merger. The two approvals granted today are without prejudice to future decisions to be taken by the Competition Authority and Arcom concerning the merger between the TF1 and M6 groups.
Prior to these two approval decisions, on July 13, 2022, Arcom published the impact studies relating to each of these transactions. On August 3, 2022, it published the Altice group's letter of commitment. Lastly, it held public hearings with the applicants and interested third parties, and took into account the written contributions sent to it.
Once the change in control of TFX and M6 Génération becomes effective, amendments to the agreements applicable to TFX and 6ter will be concluded in order to take into account the change in the breakdown of the share capital of the two companies, as well as the programming and creative funding contribution commitments made by the Altice group.
